Terms of Service

These Terms of Service ("Terms") govern your use of the SOCIAL mobile application ("SOCIAL" or "the app"), operated by GWN Ventures LLC, a Wyoming limited liability company ("we," "us," or "our"). By creating an account or using SOCIAL, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the app.

1. Eligibility

You must be at least 13 years old to use SOCIAL. By using the app, you represent and warrant that you are at least 13 years of age. If we learn that a user is under 13, we will terminate their account and delete their data.

If you are between 13 and 18 years old (or the age of majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agrees to these Terms on your behalf.

2. Your Account

You are responsible for maintaining the security of your account. You agree to:

You may create only one account per person. Automated or bot accounts are not permitted.

Account creation is available via email and password, Apple Sign-In, or Google Sign-In.

3. How SOCIAL Works

SOCIAL is a social networking app designed around personal connections. Content visibility and friend discovery features may evolve over time.

We may modify, suspend, or discontinue any feature at any time. We will make reasonable efforts to notify you of material changes.

4. User Content and Intellectual Property

Ownership

You retain all ownership rights to the content you create and post on SOCIAL.

License grant

By posting content, you grant GWN Ventures LLC a non-exclusive, royalty-free, worldwide, sublicensable license to host, store, display, reproduce, modify, and distribute your content for the purpose of operating, promoting, and improving the service. This includes creating thumbnails, compressed versions, and derivative formats for efficient delivery.

The license terminates when you delete your content or your account, except for (a) copies that may exist in other users' device caches, which we cannot control, and (b) anonymized or aggregated data derived from your content that does not identify you.

Your representations

You represent that you own or have the right to post any content you submit, and that your content does not infringe any third party's intellectual property rights, privacy rights, or other legal rights.

6. Content Moderation, Reporting, and Blocking

Reporting

You may report content (posts, comments, messages) or other users that violate these Terms. Reports are reviewed by our team, and we aim to respond promptly.

Blocking

You may block any user at any time. When you block someone, they cannot see your content, send you messages, or send you friend requests. You will not see their content. Any existing friendship is ended. Blocking is mutual in effect.

Our response

We review reports and may take action including but not limited to removing content, issuing warnings, temporarily suspending accounts, or permanently terminating accounts. We are not obligated to take any specific action in response to a report.

No obligation to monitor

While we review reports, we do not proactively monitor all user content. You are responsible for your own content and for using the reporting and blocking tools when you encounter violations.

Appeals

If you believe your account was suspended or terminated in error, you may contact us at the email address listed below.

7. Copyright and DMCA

We respect the intellectual property rights of others and expect our users to do the same.

If you believe content on SOCIAL infringes your copyright, you may submit a DMCA takedown notice to us. A valid notice must include:

  1. Identification of the copyrighted work
  2. Identification of the infringing material and its location within the app
  3. Your contact information
  4. A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law
  5. A statement under penalty of perjury that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner
  6. Your physical or electronic signature

If you believe your content was removed in error, you may submit a counter-notification with the information required under 17 U.S.C. 512(g).

We will terminate the accounts of users who are found to be repeat copyright infringers.

8. Privacy

Your use of SOCIAL is also governed by our Privacy Policy, available within the app and at our website. By using SOCIAL, you acknowledge that you have read and understand our Privacy Policy. Our data practices, including what information we collect and how we use it, are described in the Privacy Policy.

9. In-App Purchases

SOCIAL may offer optional in-app purchases in the future. All purchases are processed by Apple through the App Store and are subject to Apple's terms and conditions. By making a purchase, you agree to pay the applicable fees displayed at the time of purchase.

All purchases are final and non-refundable, except as required by applicable law or Apple's refund policies. To request a refund, contact Apple directly through reportaproblem.apple.com.

We reserve the right to modify pricing, availability, and the content of any purchasable items at any time. Virtual items (such as friend credits) have no monetary value, cannot be transferred to other users, and are not redeemable for cash.

10. Account Termination and Deletion

By you

You may delete your account at any time through Settings > Delete Account. Deleting your account permanently removes your profile, posts, messages, friend connections, group memberships, and all associated data. This action cannot be undone.

By us

We may suspend or terminate your account if you violate these Terms, if we reasonably believe your account poses a risk to other users or to the service, or if required by law. We will make reasonable efforts to notify you, except where doing so would compromise the safety of other users or a legal investigation.

Effect of termination

Upon termination, your right to use the service ceases immediately. Content you previously shared with others may persist in their device caches, which we cannot control.

11. Disclaimers

SOCIAL is provided on an "as is" and "as available" basis. We make no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee that the service will be uninterrupted, secure, or error-free. We may modify or discontinue the service at any time.

We are not responsible for the content posted by users. We do not endorse any user content.

12. Limitation of Liability

To the maximum extent permitted by applicable law, GWN Ventures LLC and its members, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, use, or profits, arising out of or related to your use of SOCIAL.

Our total aggregate liability for all claims arising out of or related to these Terms or your use of SOCIAL shall not exceed the greater of one hundred US dollars ($100) or the total amount you have paid us in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion of implied warranties or the limitation of liability for certain types of damages. In those jurisdictions, our liability is limited to the fullest extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless GWN Ventures LLC and its members, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of SOCIAL, (b) content you post or share, (c) your violation of these Terms, or (d) your violation of any third party's rights.

14. Dispute Resolution

Informal resolution

Before filing any formal dispute, you agree to contact us at the email address listed below and attempt to resolve the dispute informally for at least 30 days.

Binding arbitration

If informal resolution is unsuccessful, any dispute arising out of or related to these Terms or your use of SOCIAL shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted in the State of Wyoming. The arbitrator's decision shall be final and binding. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction.

Class action waiver

To the extent permitted by law, you agree that any dispute resolution shall be conducted on an individual basis only. You waive any right to bring or participate in a class action, collective action, or representative action.

Mass arbitration

If 25 or more similar arbitration demands are filed against us within a 60-day period, we and the claimants will work with AAA to select up to 10 bellwether cases for initial resolution. All other claims will be stayed pending the outcome of the bellwether cases. This process is intended to promote efficient and consistent resolution of similar disputes.

Small claims exception

Either party may bring an individual action in small claims court if the claim falls within that court's jurisdiction.

Opt-out

You may opt out of the arbitration and class action waiver provisions by sending written notice to gait@gwnventures.com within 30 days of first accepting these Terms. If you opt out, disputes will be resolved in the state or federal courts located in the State of Wyoming.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict-of-laws provisions. For disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Wyoming.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you through the app and update the "Last Updated" date at the top of this document. Your continued use of SOCIAL after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the service and may delete your account.
